To the fullest extent permitted by law, the Site and all content, materials, products, services, links, and features made available through the Site are provided on an “as is” and “as available” basis.
Answerology disclaims all warranties, express or implied, including warranties of accuracy, completeness, reliability, merchantability, fitness for a particular purpose, title, non-infringement, security, and availability.
We do not warrant that the Site will meet your expectations or that any errors will be corrected.
16. Limitation of Liability
To the fullest extent permitted by law, Answerology and its owners, officers, directors, employees, contractors, affiliates, service providers, licensors, advertisers, and partners will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages arising out of or related to your use of or inability to use the Site.
This includes damages for lost profits, lost revenue, lost data, business interruption, personal injury, property damage, financial losses, reputational harm, or other losses, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Site or these Terms will not exceed the greater of:
- the amount you paid, if any, to access the Site in the 12 months before the claim arose; or
- $100.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
17. Indemnification
You agree to indemnify, defend, and hold harmless Answerology and its owners, officers, directors, employees, contractors, affiliates, service providers, licensors, advertisers, and partners from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- your use of the Site;
- your violation of these Terms;
- your User Content;
- your violation of any law or regulation;
- your violation of the rights of any third party;
- your misuse of Site content, links, advertisements, or services.
18. Copyright Complaints
If you believe content on the Site infringes your copyright, please contact us at:
Please include:
- your name and contact information;
- a description of the copyrighted work;
- the URL or location of the allegedly infringing material;
- a statement that you have a good-faith belief the use is not authorized;
- a statement that the information in your notice is accurate;
- your physical or electronic signature.
We may remove or disable access to allegedly infringing material and may terminate repeat infringers where appropriate.
19. Governing Law
These Terms and any dispute arising out of or relating to the Site will be governed by the laws of the State of Delaware, without regard to conflict-of-law principles, unless applicable law requires otherwise.
20. Dispute Resolution and Arbitration
Please review this section carefully. It may affect your legal rights.
You and Answerology agree to first attempt to resolve any dispute informally. Before filing a claim, you agree to contact us at info@answerology.com with a description of your dispute. We will attempt to resolve the dispute informally within 30 days.
If the dispute cannot be resolved informally, you and Answerology agree that any claim, dispute, or controversy arising out of or relating to these Terms, the Site, or your use of the Site will be resolved by binding individual arbitration, rather than in court, except that either party may bring an individual claim in small claims court if the claim qualifies.
The arbitration will be administered by the American Arbitration Association under its applicable rules. The arbitration will take place in Delaware unless the parties agree otherwise or the arbitration provider permits remote participation.
You and Answerology agree that any arbitration will be conducted only on an individual basis. You may not bring, join, or participate in a class action, collective action, private attorney general action, or class-wide arbitration.
The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that individual party’s claim.
Nothing in this section prevents either party from seeking injunctive or equitable relief in court for alleged misuse of intellectual property, unauthorized access, data security issues, or other claims where court relief is legally available.
Opt-Out Right
You may opt out of this arbitration agreement by sending written notice to info@answerology.com within 30 days after you first become subject to these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration.
If you opt out, the rest of these Terms will continue to apply.
21. Class Action Waiver
To the fullest extent permitted by law, you and Answerology agree that each may bring claims only in an individual capacity and not as a plaintiff or class member in any class, collective, consolidated, representative, or private attorney general proceeding.
If this class action waiver is found unenforceable as to a particular claim, then that claim must proceed in court and not in arbitration, unless otherwise agreed by the parties.
22. Changes to These Terms
We may update these Terms from time to time. When we make changes, we will update the “Last Updated” date above.
Your continued use of the Site after updated Terms are posted means you accept the updated Terms.
If you do not agree to the updated Terms, you must stop using the Site.
23. Termination
We may suspend, restrict, or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms, created risk for us or others, or used the Site in a way that may cause harm.
Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law.
24. Severability
If any provision of these Terms is found invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.
25. Entire Agreement
These Terms, together with our Privacy Policy and any other policies or notices posted on the Site, constitute the entire agreement between you and Answerology regarding your use of the Site.
